Company Secretarial Practice Part 1: Basic Legal and Compliance Aspects
This half-day course provides an understanding of the basic role and responsibilities of the company secretary, and covers the principal topics in company law and compliance with which the company secretary may be concerned.
It may be taken on its own or in conjunction with Part 2 on the same day. Together they provide an introduction to the core parts of company secretarial practice and of Module 2 to ICSA’s qualifying programme (Company Compliance and Administration).
Topics covered include:
Outline of directors duties and rights and responsibilities of shareholders
Setting up a company
Winding-up of a company
Compliance and regulation (particularly for listed and quoted companies)
Reporting to shareholders
Law and practice relating to directors’ and shareholder meetings
Both parts will benefit new company secretaries, lawyers (new or wishing to refresh their knowledge) and other professionals involved in the administration of companies.
The course presenter is obviously very knowledgeable about the topic. Presenting style could benefit from more energy/information. The elements of the course that were relevant to my work were interesting.
