Course Introduction to Corporate Finance


This half-day workshop provides an interactive introduction to the world of corporate finance with an emphasis on equity finance. It covers the key aspects of corporate finance transactions and will demystify jargon and acronyms. In addition, the workshop provides an opportunity for delegates to become familiar with corporate finance transactional material such as prospectuses, rights issue circulars and other behind-the-scenes agreements.

The course will deal with the following:

  • Why companies decide to raise equity finance as opposed to debt finance
  • Who the key players are and what they do
  • Key legislation and regulation explained (e.g. the Financial Services and Markets Act 2000, the Listing Rules, Prospectus Rules, Disclosure Guidance and Transparency Rules)
  • Comparisons of debt vs equity, loans vs bonds, public equity vs private equity, Main Market vs AIM
  • Debt transactions: loans, notes, bonds, security, credit risk
  • Equity transactions: private equity-backed MBOs, floats, rights issues, open offers, placings (when, why and how they are used)
  • The many roles of the investment banker
  • Key documentation and what it is designed to do
  • Common jargon e.g. red herring, price stabilisation, greenshoe, blue book
  • The role of solicitors in a corporate finance transaction
