Course Commercial Property: Introduction to Law and Practice; Day 1


This course is the first day of a two-day series designed for fee earners with little or no knowledge of commercial property law. The days can be attended separately or as a series. This comprehensive programme provides a firm grounding in the essential law and practice in this field.

It will enable more junior staff to give increased support to more experienced fee earners, enabling them to delegate more tasks and thus improve productivity.

The course will also be of benefit to those fee earners moving into a commercial property department for the first time.

In addition to the course notes, delegates will receive a series of checklists, flowcharts and 'main problem areas' sheets, with suggested compromise positions. Attendees will also benefit from video material including interviews with the relevant parties and experts to illustrate the issues encountered.

The comprehensive material provided will include specimens of the various forms and documents referred to including:

  • A commercial lease
  • An Authorised Guarantee Agreement
  • A Licence to Assign
  • 1954 Act forms
  • Contract for Sale
  • Standard enquiries before contract

This first day of the course will focus on:

  • Explaining the jargon
  • The big picture - understand the physical nature of the property, the role of other professionals involved and the limitations of Land Registry plans and entries
  • Explaining the 'players' involved in a commercial property matter - who does what and why?
  • Introduction to basic land law

    • Freehold and leasehold estates
    • The role of the Land Registry
    • Head leases and sub-leases
    • Easements
    • Covenants
    • Mortgages
    • Title indemnity policies and their role
    • SDLT and the traps; client care considerations
  • A brief overview of leasehold law

    • Distinction between leases and licenses
    • Enforcement of leasehold covenants - when is an assignee/sub-tenant bound?
    • Land Registration Act 2002 requirements
  • An outline of basic conveyancing procedures

    • Searches and enquiries
    • Contract and completion
    • SDLT and registration and Land Registry
  • Sale and purchase of commercial property

    • Procedure
    • Standard Commercial Property Conditions
    • Standard Forms of Commercial Property Enquiries
    • Other searches and enquiries
    • Standard Forms of Reports on Title
  • Planning and other statutory requirements
