The intention of this course is to discuss, investigate and provide practical assistance on the following:
- Company formation
- Corporate finance: the meaning of capital; types of shares; maintenance of capital; a comparison of shares and debentures
- Corporate management: Directors' appointment, retirement and disqualification; removal; powers and duties of directors; functions and status of a company secretary
- Shareholders: Meetings of members; resolutions including ordinary resolutions, special resolutions, extraordinary resolutions, written resolutions and elective resolutions; shareholders' rights and duties; transfer and transmission of shares; protection of minority shareholders
