The Companies Act 2006 received Royal Assent on 8 November 2006 and is being implemented progressively. Three commencement orders are already in force. The remaining dates for implementation have been announced as 1 October 2008 and 1 October 2009. In many instances, the Act will be supplemented by secondary legislation.

The Act intends to “shape modern business needs” and its changes represent the biggest shake-up in company law for decades. Corporate practitioners, employment lawyers and litigators need to keep abreast of the latest developments on an ongoing basis. This course is designed to keep practitioners up-to-date with all the latest changes, as well as providing a comprehensive overview of the sweeping reforms.

The changes covered include:

  • Codification and amendment of directors’ duties
  • Enhancement of shareholders’ rights, including provisions on derivative claims and actions by members
