Course Overview Workshop

This advanced level, highly interactive course is taught by two experienced speakers and offers the opportunity to put precedents and amendments suggested by an experienced transactional lawyer under the scrutiny of a litigator to get the perfect outcome! It uses case studies and drafting exercises (working in small groups) to examine in depth those areas that most commonly give rise to difficulties both in negotiating and drafting commercial leases and in dealing with unavoidable problems that arise post completion both for landlord and tenant.

  • Alienation: which types of alienation are prohibited? Virtual assignments & declarations of trust; the importance of preconditions; the landlord’s statutory duty and the importance of s19(1A) clauses; the latest on AGAs & guarantors: what is ‘reasonable’? underletting & the passing rent problem
  • Break Options: personal or not: the question of revivability - Brown v Root, conditional clauses & the problem of ‘materiality’; remedying defective notices & the role of Mannai; prescribed forms of notice, problems with covering letters & the tricky issue of service
  • Breach of covenant: arrears of rent & drafting for practical recoverability; failure to repair & the landlord’s remedies: drafting to avoid problems & enforcing the obligation; latent defects & the overlap with insurance
  • Service charges: which amendments benefit the tenant? – Problems with mixed use buildings – challenging the service charge
  • Quiet enjoyment and derogation from grant: keep open covenants & anchor tenant problems; behaviour of other tenants – minimising the impact of the landlord’s works - the problem of scaffolding - landlord's regulations
