This course provides a comprehensive overview of the legal and drafting aspects of LLPs, looking at the core issues from incorporation and conversion through management and dissolution. It will examine the documents required to set up and run LLPs and is useful for both law firms who are LLPs or preparing to convert to LLPs and lawyers advising clients on this structure. This course will cover:
- The nature and culture of partnerships/LLP's
- Review of Partnership Agreements (looking at some examples of poor drafting)
- Incorporation and Business Transfer
- Practical issues such as:
- Contracts of Employment and Consultation with Employers
- Letters of Engagement/Retainers/Conditions of Business
- Notifying clients
- Salaried Partners/Members
- The extent of Limited Liability
- Default Provisions
The Solicitors’ Code of Conduct Rule 5 makes the effective running of the firm a matter of professional conduct, requiring partners ‘to be able to produce evidence of a systematic and effective approach to management’. It requires effective systems for supervision, risk management and delegation, and expects training to ensure the competence of all personnel in performing their duties. This course will help you meet this requirement.
