We are nearing what is hopefully the final implementation of the Companies Act 2006, the biggest piece of legislation ever enacted, on 1 October 2009. Even though this is specified as the final implementation date of a huge piece of legislation that has been implemented progressively over the last couple of years, there could still be much further delegated legislation to be brought into force under it after that date.
The changes coming into effect on 1 October are significant and will affect all corporate practitioners. They include:
- Changes to the method of incorporation of companies
- Changes to all Companies House forms (over 250 in total)
- The implementation of a single regime of company law applying to the whole of the UK
- Further changes to share capital.
Previous changes already implemented include:
- The codification of directors’ duties
- Enhancement of shareholders’ right including derivative claims
- Changes to a company’s constitution and the need for a company secretary
- Shares and share capital, including financial assistance
- AGM and other meeting processes
- Communications with shareholders
- Auditors’ liability
- Accounts and statutory reports
- The implementation of the European Takeover Directive
This course will examine all the key changes and developing law and is essential for all corporate lawyers.
